Using Simpl
Terms of Service

These Terms of Service describe the rules for using Simpl’s wedding-planning application, websites, portals, galleries, guest-upload pages, vendor features, and related services. They are intended to keep the platform useful, respectful, and clear for couples, guests, and vendors.
1. Agreement to these terms
These Terms of Service (“Terms”) are a legal agreement between you and Simpl LLC (“Simpl,” “we,” “us,” or “our”), a New Hampshire-based business. They apply to the Simpl mobile application, simpl.wedding, couple and vendor portals, public wedding websites, guest-upload pages, planning tools, galleries, and related services (collectively, the “Services”).
By creating an account, accessing a portal, submitting content, using a guest-upload link, or otherwise using the Services, you agree to these Terms and acknowledge our Privacy Policy. If you use the Services for a business or other organization, you represent that you have authority to accept these Terms for that organization.
If you do not agree, do not use the Services.
2. Eligibility and account responsibility
You must be at least 18 years old and legally able to enter into a contract to create a couple, vendor, or administrator account. The Services are not directed to children under 13.
You agree to provide accurate information, keep it reasonably current, protect your login credentials and devices, and promptly notify us of suspected unauthorized access. You are responsible for activity performed through your account unless caused by Simpl’s breach of these Terms or applicable law.
Account roles have different permissions. Couples, partners, vendors, guests, and administrators may see or change different information. You may not attempt to bypass those permissions or access another person’s account, private content, or restricted administrative areas.
3. Beta services and product changes
Some or all of the Services may be offered as a private beta, preview, or early-access feature. Beta features may be incomplete, change without notice, contain errors, or experience interruptions. We may add, change, limit, pause, or discontinue a feature as the product evolves.
We will use reasonable care when changing the Services, but you should maintain independent copies of information and media that are important to you. Simpl is not a substitute for your own records or backup plan.
4. Wedding-planning tools
Simpl helps organize checklists, timelines, budgets, vendors, contacts, wedding websites, shot lists, communications, and other planning information. Suggestions, regional pricing estimates, schedules, reminders, and generated starting plans are informational tools. They are not guarantees, professional advice, binding quotes, or promises that a vendor, price, date, location, or service will be available.
You remain responsible for reviewing details, confirming contracts and prices, checking dates and addresses, communicating with participants, and making final planning decisions.
5. Planning assistant and generated content
The Services may include an automated planning assistant or generated suggestions. Responses may be incomplete, outdated, or incorrect. Do not rely on generated content as legal, financial, medical, safety, tax, or other professional advice. Verify important information with an appropriate professional or primary source before acting on it.
You are responsible for reviewing generated text before publishing, sending, or using it. Simpl may limit or refuse assistant requests that are unsafe, unlawful, abusive, or outside the intended wedding-planning purpose.
6. Vendors, listings, and bookings
Simpl may display vendor profiles, contact information, portfolio media, service categories, availability indicators, or recommendations. A listing, suggestion, profile, or communication does not mean Simpl endorses, certifies, employs, or guarantees a vendor. Unless we expressly state otherwise, Simpl is not a party to an agreement between a couple and a vendor.
Couples are responsible for evaluating vendors, checking references, confirming insurance or licenses where applicable, reviewing contracts, and making payments safely. Vendors are responsible for the accuracy of their profiles, qualifications, availability, pricing, claims, portfolio rights, and services.
Any booking, invoice, deposit, cancellation, refund, performance issue, injury, loss, or dispute between users and vendors is between those parties. Simpl may assist with communication or records but is not responsible for a vendor’s or user’s acts, omissions, representations, or performance.
If Simpl later offers sponsored placement, paid promotion, referral arrangements, or other material relationships, applicable disclosures will be displayed as required.
7. User, guest, and vendor content
“User Content” includes text, contact information, profiles, wedding details, timelines, budgets, messages, documents, reviews, photos, videos, audio, logos, portfolio work, links, and other material submitted, uploaded, published, or shared through the Services by a user, guest, or vendor.
You retain ownership of your User Content. You grant Simpl a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, adapt for technical formatting, transmit, and display that content only as reasonably necessary to operate, secure, support, and improve the Services and to carry out your sharing and publishing choices. This license ends when the content is deleted from active systems, subject to reasonable technical, backup, legal, and security retention periods.
Simpl will not use private wedding media in public marketing without separate permission. Content deliberately published to a wedding website, vendor profile, shared gallery, or other public page may be viewed, copied, or reshared by people who can access that page.
Your content responsibilities
You represent that you own your User Content or have all permissions, releases, licenses, and consents needed to submit and use it through the Services. You may not submit content that:
- Infringes copyright, trademark, privacy, publicity, contractual, or other rights.
- Is unlawful, fraudulent, defamatory, threatening, harassing, exploitative, or abusive.
- Contains malware, malicious code, or instructions intended to compromise a system.
- Impersonates another person or misrepresents a relationship, qualification, review, or endorsement.
- Contains sensitive information you are not authorized to disclose.
Content responsibility. To the fullest extent permitted by law, Simpl is not responsible for the accuracy, legality, quality, ownership, safety, or appropriateness of content submitted by users, guests, or vendors. We may restrict, preserve, or remove content when reasonably necessary to protect people, investigate a complaint, enforce these Terms, or comply with law.
8. Guest uploads and shared links
A person using a guest-upload link agrees to these Terms for their upload and confirms they have the right to share the submitted media and information. Couples are responsible for deciding who receives their links and for managing or publishing guest submissions associated with their wedding.
Shared links can be forwarded. Do not place confidential information on a public or link-accessible page. Simpl may disable a link or submission that creates a security, privacy, legal, or abuse concern.
9. Galleries, media processing, and secure backup
Simpl may create copies, previews, resized images, converted files, and other technical derivatives needed to upload, display, download, share, or back up media. Processing times and media compatibility may vary based on file type, size, connectivity, device conditions, and service availability.
Secure gallery backup is an optional convenience feature, not an archival guarantee. Keep independent copies of important photos and videos. Simpl does not promise that every file can be uploaded, converted, restored, or recovered and is not responsible for loss caused by a user’s deletion, loss of access credentials, unsupported or corrupted files, third-party device behavior, or circumstances outside Simpl’s reasonable control.
10. Acceptable use
You may not misuse the Services. Prohibited activity includes:
- Accessing or attempting to access private galleries, accounts, data, systems, or administrative functions without authorization.
- Scraping, harvesting, bulk downloading, probing, reverse engineering, disrupting, or overloading the Services, except where applicable law expressly permits otherwise.
- Uploading malicious files or using the Services for spam, fraud, deception, surveillance, harassment, or unlawful discrimination.
- Circumventing security, rate limits, access controls, content restrictions, or account limitations.
- Using another person’s identity or account without authorization.
- Using the Services in a way that violates law or another person’s rights.
11. Simpl intellectual property
The Services, including their design, software, interfaces, branding, logos, written materials, and non-user content, are owned by Simpl or its licensors and are protected by intellectual-property laws. Subject to these Terms, Simpl gives you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose.
You may send us ideas or feedback. If you do, you allow Simpl to use that feedback without restriction or compensation, provided we do not identify you publicly as its source without permission.
12. Copyright and rights complaints
If you believe content on the Services violates your copyright, privacy, publicity, or other rights, email info@simpl.wedding with enough information to identify the content, explain the claimed right, locate the material, and contact you. We may request additional information and may remove or restrict content while reviewing a complaint.
13. Communications
You agree that Simpl may send service-related messages needed to operate your account, such as authentication, invitation, upload, RSVP, security, support, and material product notices. Where required, optional marketing communications will use separate consent and provide a way to unsubscribe.
14. Fees and payment features
Some Services may later require payment. Any price, billing period, renewal term, cancellation rule, or refund policy will be disclosed before you authorize a charge. Vendor invoices and payments made outside Simpl are governed by the agreement between the vendor and customer, not these Terms.
15. External services and links
The Services may link to or interact with third-party websites, applications, maps, payment services, device features, or vendor resources. Simpl does not control and is not responsible for third-party services, content, availability, security, or terms. Your use of them may be governed by separate agreements.
16. Suspension, termination, and deletion
You may stop using the Services at any time. Account holders can initiate account deletion from Settings in the Simpl app; access is disabled immediately while the website administrator completes permanent deletion manually. You may also request media deletion or other privacy assistance by emailing info@simpl.wedding. We may suspend, restrict, or terminate access when reasonably necessary to protect users or the Services, address nonpayment, investigate suspected misuse, comply with law, or enforce these Terms.
Termination does not automatically cancel a separate agreement between a couple and a vendor. Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, limitations of liability, indemnity, and dispute provisions—will survive.
17. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” SIMPL DISCLAIMS ALL EXPRESS OR IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND QUIET ENJOYMENT.
We do not guarantee that the Services will be uninterrupted, secure, error-free, or compatible with every device or file; that information or suggestions will be accurate; that content will not be lost; or that any vendor, guest, couple, event, or transaction will meet expectations. Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.
18. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPL AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, EVENT DISRUPTION, OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS.
TO THE FULLEST EXTENT PERMITTED BY LAW, SIMPL’S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO SIMPL FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.
These limitations do not apply where prohibited by law, and they do not limit liability that cannot legally be limited.
19. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Simpl and its members, officers, employees, contractors, and agents from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your User Content, your misuse of the Services, your violation of these Terms, or your violation of another person’s rights. Simpl will provide reasonable notice of a covered claim and may control its defense and settlement.
20. Governing law and disputes
These Terms are governed by the laws of the State of New Hampshire, without regard to conflict-of-law rules. Unless applicable law requires otherwise, any court proceeding arising from these Terms or the Services must be brought in a state or federal court located in New Hampshire, and each party consents to that court’s jurisdiction.
Before filing a claim, please contact info@simpl.wedding so we can try to resolve the issue informally. Nothing in these Terms prevents either party from seeking urgent injunctive relief or using an eligible small-claims process.
21. Changes to these terms
We may update these Terms as the Services and legal requirements change. We will post the revised Terms and update the effective date. If a change materially affects your rights, we will provide additional notice or request acceptance when required. Continued use after the updated Terms take effect means you accept them.
22. General provisions
If any provision is found unenforceable, the remaining provisions will remain in effect and the affected provision will be enforced to the greatest extent permitted. A delay in enforcing a provision is not a waiver. You may not transfer these Terms without Simpl’s written consent. Simpl may transfer them as part of a merger, financing, reorganization, or sale of the business or its assets.
These Terms and the Privacy Policy are the entire agreement between you and Simpl regarding the Services, except for any separate written agreement that expressly supplements or replaces them.
